7. Intellectual Property

(collectively referred to as the "Platform Content"), including but not limited to text,
graphics, logos, button icons, images, video, audio clips, software, algorithms, source
code, object code, databases, designs, user interfaces, and proprietary technologies,
are the exclusive property of MinnAI or its licensors and are protected under
applicable copyright, trademark, patent, trade secret, and other intellectual property
laws.
Certain components of the platform, including but not limited to underlying AI
models or libraries, are licensed under open-source terms. MinnAI acknowledges and
complies with the applicable licenses for these components. Users may access and use
these open-source elements in accordance with their respective license terms.
However, MinnAI retains all proprietary rights to modifications, enhancements, and
integrations developed by MinnAI, as well as all original and unique Platform Content.
MinnAI grants users a limited, non-exclusive, revocable, and non-transferable
license to access and use the Platform Content for personal, non-commercial
purposes in accordance with these Terms, except where the use of open-source
components is governed by their respective licenses.
Users agree not to:
- Copy, reproduce, distribute, modify, create derivative works of, publicly
display, publicly perform, republish, download, store, transmit, or otherwise
exploit any proprietary portion of the Platform Content without MinnAI's prior
written consent.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover or
replicate the proprietary source code, structure, or underlying technology of
the platform, except as permitted by applicable open-source licenses.
- Use any trademark, logo, or other proprietary information of MinnAI without
express permission, including in meta tags, advertising, or promotional
materials.
- Sell, license, rent, lease, transfer, or assign any rights to the proprietary
Platform Content to any third party.
- Circumvent any technological measures employed by MinnAI to protect
proprietary Platform Content.
If users submit suggestions, ideas, feedback, or other content ("User Contributions")
to MinnAI, they grant MinnAI a perpetual, worldwide, irrevocable, royalty-free
license to use, modify, reproduce, distribute, and otherwise exploit such User
Contributions for any purpose, except where such use conflicts with open-source
licensing terms. Users represent and warrant that their User Contributions do not
infringe the intellectual property rights of any third party.
Any unauthorized use of MinnAI's proprietary content is a violation of these Terms
and may result in account suspension, termination, and/or legal action.

8. Acceptable Use Policy
You may not use the MinnAI platform to:
- Engage in Unlawful Activities: Conduct or promote any activity that violates
applicable laws, regulations, or legal obligations, including but not limited to
intellectual property laws, data privacy laws, and export control laws.
- Infringe Intellectual Property: Copy, distribute, or otherwise misuse MinnAI's
proprietary content, third-party content, or the intellectual property rights of
others without proper authorization.
- Spread Malicious Software: Upload, transmit, or distribute any software, code,
files, or programs that contain viruses, malware, or any other harmful
components intended to disrupt, damage, or limit the functionality of the
platform or other users' systems.
- Exploit Vulnerabilities: Attempt to access, test, or manipulate the platform's
infrastructure, security measures, or data through hacking, reverse
engineering, or other unauthorized methods.
- Misuse AI Systems: Misuse or attempt to manipulate the AI analysis system,
attempt to extract or reverse engineer the AI analysis mechanisms, or use the
AI analysis results in a manner inconsistent with their intended informational
purpose.
- Engage in Fraud or Misrepresentation: Impersonate any individual,
organization, or entity, or misrepresent your affiliation with MinnAI or any
other party.
- Promote Harmful Content: Upload, transmit, or disseminate content that is
defamatory, obscene, discriminatory, harassing, threatening, or otherwise
harmful to individuals or groups.
- Automate or Interfere: Use bots, scrapers, or other automated methods to
access the platform for purposes such as data extraction, content scraping, or
overload of system resources.
- Circumvent Restrictions: Attempt to bypass or disable access controls,
authentication mechanisms, or restrictions imposed by MinnAI to limit certain
functionalities.
As a user of MinnAI, you agree to:
- Provide Accurate Information: Ensure that any information provided during
registration or use of the platform is truthful, accurate, and current.
- Respect Other Users: Engage respectfully with other users, avoiding disruptive
behavior, abuse, or harassment in any interactions on or related to the
platform.
- Maintain Account Security: Protect your account credentials and promptly
notify MinnAI of any unauthorized access or suspected breaches of your
account.
- Comply with Applicable Laws: Abide by all relevant local, state, national, and
international laws and regulations when using the platform.
If you become aware of any activity on the platform that violates this Acceptable Use
Policy, you are encouraged to report it to MinnAI immediately. Reports can be
submitted through our contact page or other designated channels.
Violations of this Acceptable Use Policy may result in:
- Temporary or permanent suspension of your account.
- Legal action, including but not limited to claims for damages or injunctive
relief.
- Referral to law enforcement authorities where appropriate.
9. Liability and Legal Provisions
To the fullest extent permitted by Minnesota law, MinnAI and its affiliates, officers,
directors, employees, agents, licensors, and service providers shall not be liable for
any indirect, incidental, special, consequential, or punitive damages arising from:
- Use of the platform
- Reliance on AI analysis results
- Decisions made based on platform-provided information
- Implementation of identified compliance measures
The platform's liability limitations specifically recognize that:
- AI analysis is based solely on publicly available 245D program information
- Analysis results require human interpretation and verification
- Users are responsible for compliance decisions
- The platform does not guarantee compliance outcomes
To the fullest extent permitted by Minnesota law and any applicable federal laws,
MinnAI and its affiliates, officers, directors, employees, agents, licensors, and service
providers (collectively referred to as the "MinnAI Parties") shall not be liable for any
indirect, incidental, special, consequential, or punitive damages, or any loss of profits,
revenue, data, use, goodwill, or other intangible losses, arising out of or related to
your use of or inability to use the platform, even if the MinnAI Parties have been
advised of the possibility of such damages.
In no event shall the aggregate liability of the MinnAI Parties for all claims relating to
the use of the platform exceed the total fees paid by you to MinnAI for the specific
service giving rise to the claim during the twelve (12) months immediately preceding
the event that gave rise to the liability.
This limitation of liability applies to all claims, regardless of whether they are based
on warranty, contract, tort (including negligence), statute, strict liability, or any other
legal theory. Some jurisdictions, including Minnesota, may not allow certain
limitations or exclusions of liability, so some of the above limitations may not apply to
you. In such cases, MinnAI's liability is limited to the maximum extent permitted by
law.
MinnAI is not responsible for:
- Errors, inaccuracies, or omissions in platform content derived from publicly
available sources.
- Temporary interruptions, delays, or unavailability of services caused by
circumstances beyond MinnAI's control, including but not limited to force
majeure events, cyberattacks, or third-party system failures.
- Any user actions or decisions based on information provided by MinnAI.
You agree to indemnify, defend, and hold harmless the MinnAI Parties from and
against any and all claims, liabilities, damages, judgments, awards, losses, costs,
expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service or any applicable laws or regulations.
- Your misuse of the platform, including but not limited to the submission of
inaccurate, unauthorized, or illegal information.
- Any third-party claims resulting from your actions, content, or conduct in
connection with the platform.
Under Minnesota law, liability limitations must be reasonable and cannot exculpate a
party from intentional or willful misconduct. Accordingly, the limitations set forth
above do not apply to:
- Gross negligence, intentional misconduct, or fraud by MinnAI.
- Violations of Minnesota consumer protection statutes, including the Minnesota
Consumer Fraud Act (Minn. Stat. § 325F.69) and other applicable state laws
protecting consumers from unfair or deceptive practices.
MinnAI reserves the right to seek equitable remedies, including injunctive relief,
where appropriate, to prevent or address violations of these Terms or harm to
MinnAI's rights, reputation, or intellectual property.
10. User Agreement
This section encompasses additional provisions that govern your relationship with
MinnAI and the terms of service:

Modification of Terms: MinnAI reserves the right to modify or update these
Terms of Service at its sole discretion. In the event of material changes, you will
be notified through email or platform notifications at least 30 days prior to the
changes taking effect. Your continued use of the platform after such
modifications constitutes acceptance of the revised terms.

Termination of Access: MinnAI reserves the right to suspend or terminate your
access to the platform, with or without notice, if you violate these Terms or
engage in any misuse of the platform. Termination does not waive your
obligation to comply with any outstanding provisions of these Terms.

Governing Law and Venue: These Terms shall be governed by and construed in
accordance with the laws of the State of Minnesota, without regard to its
conflict of law provisions. Any disputes arising under these Terms shall be
resolved exclusively in the state or federal courts located in Ramsey County,
Minnesota.

Dispute Resolution: All disputes arising out of or related to these Terms shall
first be resolved through good-faith mediation. Mediation will take place in
Minnesota, and each party will bear its own costs for the process. If mediation
fails to resolve the dispute within 30 days, the parties agree to submit the
matter to binding arbitration in Saint Paul, Minnesota, administered by the
American Arbitration Association (AAA) under its applicable rules. The
arbitration shall be conducted by a single arbitrator on an individual basis, and
the arbitrator's decision will be final and binding, with judgment enforceable in
any court of competent jurisdiction. If arbitration also fails within 30 days from
commencement or is deemed unenforceable, the parties retain the right to
pursue litigation. Any litigation arising under these Terms shall be conducted
exclusively in the state district courts of Ramsey County, Minnesota, or the
United States District Court for the District of Minnesota located in Ramsey
County.

You agree that any dispute resolution proceedings, including
mediation, arbitration, and litigation, will be conducted on an individual basis
and not as part of a class, consolidated, or representative action. By using the
platform, you waive your right to participate in any class action lawsuits related
to these Terms or the platform.

Severability: If any provision of these Terms is found to be unlawful, void, or
unenforceable for any reason, that provision shall be deemed severable from
the rest of these Terms and shall not affect the validity or enforceability of the
remaining provisions.

Waiver: Failure by MinnAI to enforce any provision of these Terms shall not be
construed as a waiver of such provision or any other provision. A waiver is only
effective if it is expressly stated in writing by MinnAI.

Entire Agreement: These Terms constitute the entire agreement between you
and MinnAI with respect to your use of the platform. They supersede all prior or
contemporaneous agreements, communications, and proposals, whether oral
or written, related to the subject matter of these Terms.

Assignment: You may not assign or transfer your rights or obligations under
these Terms without the prior written consent of MinnAI. MinnAI may assign
its rights and obligations under these Terms at its sole discretion.

Notices: Any notices required or permitted under these Terms shall be in
writing and delivered via email or through the platform’s notification system.
Notices to MinnAI should be sent to the contact information provided on the
platform.

Force Majeure: MinnAI shall not be held responsible or liable for delays or
failure in performance caused by events beyond its reasonable control,
including but not limited to natural disasters, acts of government,
cyberattacks, strikes, or technical failures ("Force Majeure Events").
By using MinnAI, you acknowledge that you have read, understood, and agreed to
these Terms of Service, including the platform’s informational nature and its reliance
solely on public data.
